Affiliate Program Terms

These terms are the agreement between you and Billpal e.U. ("we") for the affiliate program. Company details are in our Imprint. They are separate from the Terms of Service, which cover use of the product.

By applying, you agree to these terms. We may approve or reject an application.

1. The program

• You refer people to Billpal with your tracked link. You do not negotiate or close the sale. The customer signs up on our website and contracts with us.
• You are independent. You are not our employee, and you cannot sign, price, or promise anything for us.
• You must be at least 18 years old.

2. Commission

• You earn 30% of the fees we actually collect from that paying customer, excluding tax, for as long as they keep paying. That includes the subscription and extra charges for documents that exceed the monthly allowance of their plan.
• The free trial pays nothing. Overage credit that offsets a charge pays nothing, because we did not collect that amount.
• A referral is a new Billpal account that signs up through your link, has never paid us, and starts a paid subscription within 60 days of the click. The last click in that window gets the commission.
• If the account signed up earlier without your link, including on a free trial, a later payment does not earn commission. Attribution happens only when they sign up through the link.
• No commission if they were already a paying customer, or if they decline the referral cookie.
• If they upgrade or downgrade, the commission follows the new subscription price. If they cancel, later payments stop and so does the commission.
• The rate in force when they first pay stays in force for that customer. If we change the rate, we email you at least 14 days before the new rate applies to new referrals.

3. Refunds and disputes

• Commission is due only on money we keep.
• A refund, a partial refund, an unpaid invoice, a dispute (a Stripe dispute), or a chargeback cancels the commission on that amount.
• A commission can be paid out 30 days after we collected the payment.
• If we already paid you, we deduct the cancelled amount from your next payout. If this agreement has ended and your balance is negative, you pay us back.
• The Stripe dispute fee stays with us.

4. Payouts

• We pay once a month, by PayPal or Wise, when commission that is ready to pay is at least $50. Amounts in other currencies count toward that $50 at the rate PayPal or Wise uses for the payout.
• We pay the usual PayPal or Wise transfer fee. Fees your bank charges when the money arrives are yours.
• Before the first payout you send your legal name, address, and payout details. We do not pay until we have them.
• We issue the commission statement (Gutschrift). You do not send an invoice. You handle your own tax.
• If this agreement ends, we pay a valid leftover balance on the next monthly run even if it is under $50. Commission tied to a breach of these terms is not paid.

5. How you may promote

• Your promotion has to be honest. You must say that you earn a commission, and mark it as an ad where the law requires that, including in Austria, Germany, and Switzerland.
• Paid ads are allowed. You may not bid on Billpal or our trademarks, including misspelled versions of them, for example typos. You may not use the name or the trademarks in ad copy, display URLs, or domains that imply you are Billpal.
• No spam. No fake signups. No tricks that set the tracking cookie without a real visit. Do not pretend to be Billpal.
• You may not refer yourself, your own company, or an account you control.
• You may use brand assets we give you for this program. Stop when the agreement ends. Do not register a domain or account that implies you are Billpal.

6. Ending the agreement

• Either of us may end this agreement by email, to the address on the application or to support@billpal.io.
• We may end it immediately if you break these terms.
• After it ends, the rules on cancelled commission, repayment, and brand use still apply.

7. Liability

• We do not guarantee that anyone will subscribe, or that tracking will be uninterrupted.
• We are not liable for indirect or consequential damages from this program.
• Our total liability to you is limited to the commissions we paid you in the 12 months before the claim.
• Nothing in these terms excludes liability for intent or gross negligence.

8. Law and contact

• We may update these terms. We email you at least 14 days before a material change. If you keep participating after that, you accept the update. Section 2 covers a change to the commission rate.
• These terms are governed by the laws of Austria. The courts of Vienna, Austria, have exclusive jurisdiction.
